Successfully organizing your sale paperwork

I'm in the early stages of selling my small business. I've got three years of financials, tax returns, and a rough list of assets, but the paperwork situation is already overwhelming. What's the most practical way to organize everything so I don't drown in it? I don't want to miss anything critical.

Start with a master checklist from a broker or M&A attorney if you have one. Group documents into financial, legal, operational, and tax categories. It makes the eventual due diligence period much less chaotic.

Digital sccans, everything in one folder structure that matches the checklist. Don't rely on paper binders alone.

I second the checklist approach. We used a shared drive with numbered folders and a document index. Took about two weekends to get it all in order, but it was worth it when the buyer's accountant started asking for specific things. If you have leases or equipment loans, pull those early because they always seem to be missing when you need them most. Also, keep a separate folder for anything that needs a signature or notarization; those tend to be scattered in random email threads.

How many years of financials are they asking for? Usually three is fine, but some buyers want five if you've been around that long.

Make sure your P&L, balance sheets, and tax returns actually reconcile. Buyers will notice discrepancies before you even get to the letter of intent.

CobaltSquare brings up a good point. I've seen deals stall because the owner's QuickBooks didn't match the tax return. Clean that up first, then organize.

Get a good scanner. It's a snall investment that saves hours. If you can, have someone else do the scanning while you focus on the actual review.

One more thing: keep a running log of anything you send to the buyer. It's easy to lose track of which version of a document went out when multiple people are asking.

I underestimated how much time the paperwork would eat up. Block out specific hours each week and treat it like a project, not something you'll get to eventually.

The point about discrepancies in the financials is concerning because I've never really reconciled my books and tax returns line by line. I'll have my accountant go through that before I start sending anything out.
