Comparing confidentiality features on broker networks vs listing sites

We're getting closer to listing our company (B2B services, ~$4M revenue) and I'm trying to understand the real-world difference in confidentiality between the big broker networks and the public listing sites. My main fear is employees or competitors finding out. Has anyone actually tested both sides and can compare what stays hidden vs what leaks? Not looking for sales pitches.

Broker networks are still just people. If your broker is sloppy with the teaser, it doesn't matter what platform they're on. i've seen a 'confidential' CIM get forwarded around a trade association within a week.

Listing sites are basically a billboard with a blurry photo. You can hide the name, but anyone in your industry can guess it from the description in about 30 se conds. At least with a broker network you have a human gatekeeper, even if they're imperfect.

what's the actual concern though? employees finding out or competitors? those are different problems and need different fixes.

biscuit_havoc

Fair point. For employees, the leak usually comes from the owner slipping, not the platform. For competitors, it's usually the teaser details—revenue range, location, employee count.

Both, honestly. Mainly key employees. We have two people who would walk if they thought a sale was coming. So I'm leaning toward whatever keeps the listing off the open web entirely.

Then you're probably looking at an off-market broker approach, not a listing site. Listing sites are designed for discovery. Discovery and confidentiality are opposites by definition.

I'd push back slightly. Some listing sites let you stay anonymous until NDA. The problem is the quality of buyers who browse those sites is all over the place, so you end up doing more NDA paperwork for tire-kickers.

Anyone else find it funny that 'confidential' is the most overused word in every broker's pitch deck? It's like a restaurant claiming 'fresh ingredients.'

SableMoth

having been on the buying side too, I'll say this: if a deal is truly confidential, I don't see it until I've signed something. If I see it on a listing site, I assume the seller is either desperate or naive. Unfair maybe, but that's the signal.

biscuit_havoc

That's a good point actually. The platform affects how buyers perceive your seriousness, not just your secrecy.

quietdesertowl

SableMoth that's the uncomfortable part. I don't want to signal desperation, but I also don't want my ops manager reading a teaser over coffee. Sounds like the broker network network is the lesser evil if I vet the broker hard.

orbital_fig

Vet the broker's process, not their pitch. Ask exactly who sees the teaser, how it's distributed, and whether they use a tracked data room. If they can't answer in specifics, walk.

MangoTornado

Or just tell your ops manager you're 'exploring strategic options.' That phrase has kept more employees in the dark than any NDA ever written.
