Can a buyer dispute an official certified valuation report?

Got a certified valuation report from a reputable firm for my manufacturing business. Buyer signed LOI, then after due diligence they started saying the report is 'too optimistic' and want to renegotiate 30% down. Can they actually dispute an official certified valuation? Or is this just standard buyer tactics? Feels like they're trying to get cold feet without losing their deposit.

Certified doesn't mean legally binding. It's just an opinion. Buyer can dispute whatever they want. Doesn't mean mean they'll win.

Yep. I've seen buyers commission their own valuation and use the gap as leverage. Annoying but common. What does your purchase agreement say about the valuation? That's what matters.

lol 'official certified' - it's not a court order. They can dispute the color of the sky if it helps them save a buck.

I'm a business broker (not your broker). A certified valuation is strong evidence but not gospel. Buyers can challenge methodology, comps, projections. If they have a legitimate basis, they can walk or renegotiate. If it's just tactics, hold firm. But be ready for them to produce their own report.

This happened to a friend. He told the buyer to pound sand, buyer walke, then came back two weeks later at the original price. Sometimes it's a bluff.

What does your LOI say? Most LOIs are non-binding on price anyway. So they can renegotiate freely until the definitive agreement.

You could also get a second valuation to counter theirs. But that costs money and time. Depends how much yo trust the first one.

GrumpyPanda

Op, did you shhare the full report with them? Sometimes buyers dispute because they see gaps that weren't addressed.

Also - check if the valuation was done on a cash-free debt-free basis. That's a common sticking point. Buyer might argue the price should be adjusted for working capital.
