Broker Contracts

How do you cancel a contract with a bad business broker?

Signed with a broker six months ago to sell my landscaping business. Big mistake. He's taken blurry photos, never follows up with leads, and I found out he's been double-dipping by representing a competing business. The contract says I owe a 10% commission if I sell within 12 months, even if I fire him. Has anyone successfully cancelled a broker contract? Do I need a lawyer or is there a standard exit clause I'm missing?

Ha, welcome to the club. Most of these contracts are written by the broker's cousin who went to law school for a semester. I'd get a lawyer to send a demand letter citing breach of fiduciary duty. Double-dipping is usually a clear violation, but the commission clause might survive unless you can prove damages.

Short answer: you probably can't just cancel. Long answer: read the "termination" section for a cure period. If he's breaching, you might have grounds, but expect him to fight for that commission. What does your contract say about exclusive representation representation?

Double-dipping is a big deal. Do you have proof? If you can show he was representing the competitor, that's likely a breach. But yeah, you'll need a lawyer to untangle the commission clause. Ask about 'constructive termination' too.

Broker contracts are notoriously one-sided. I've seen ones where you owe a commission even if you sell to your own mother. That said, if he materially breached, a court might void the commission. But legal fees might eat your savings. Consider negotiating a release—pay him a small kill fee to walk away.

Just stop answering his calls. What's he gonna do, sue you for being bad at his job? (Don't actually do this.)

What does your contract say about 'termination for cause'? Usually, you have to give written notice and a chance to fix it. But if he's double-dipping, that's likely 'cause'—you might be able to terminate without penalty. Get a business attorney to review it. Worth the $500.

I went through this last year. My broker was useless, but the contract had a 30-day termination clause with a 2% fee. Check for anything like that. If not, you may be stuck. Also, document everything he's done wrong—emails, missed calls, etc

Double-dipping is the golden ticket here. That's a conflict of interest and likely a breach of fiduciary duty. You can probably terminate and even sue for damages. But the commission clause might still be enforceable unless you get a cojurt to rule. Talk to a lawyer who specializes in business sales.

Curious—did you sign an exclusive right-to-sell? Those are the hardest to break. If it's non-exclusive, you might just be able to revoke his authority and move on. But the commission tail could still apply.

Honestly, just pay a lawyer to write a scary letter. Nine times out of ten, the broker will fold cuz they don't want the hassle. But be prepared to walk away if it gets expensive.

Following this. I'm in a similar boat with a commercial real estate broker. These contracts are predatory. Let me know if you find a magic loophole.

Also, check if your state has a broker licensing board. You can file a complaint for unethical behavior. Sometimes that gets their attention faster than a lawyer. But it won't necessarily cancel the contract.
